Item 8.01. Other Events.

On April 30, 2018, Fair Isaac Corporation (the “Company”) issued a press release announcing that it had commenced a private offering to eligible purchasers of $400 million aggregate principal amount of Senior Notes due 2026 (the “Notes”). In accordance with
Rule 135(c) of the Securities Act of 1933, as amended (the “Securities Act”), a copy of this press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K. Accordingly, this notice is not intended to and does not constitute an offer to sell nor a solicitation for an offer to purchase any securities of the Company.

The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any applicable state securities laws.

FICO Announces Proposed Offering of

$400 Million in Senior Notes

SAN JOSE, Calif. – April 30, 2018 – Fair Isaac Corporation (NYSE:FICO) announced today that it intends to offer, subject to market and certain other conditions, $400 million in aggregate principal amount of Senior Notes due 2026 (the “Notes”) in a private offering that is exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The Notes will be senior unsecured obligations of FICO.

FICO intends to use the net proceeds from this offering to repay certain indebtedness outstanding under our existing unsecured revolving credit facility, including, but not limited to, indebtedness borrowed under our existing unsecured revolving credit facility drawn to repay all of our outstanding 7.18% Series D Senior Notes due 2018 at maturity.

The Notes will be offered and sold to qualified institutional buyers in reliance on the exemption from registration set forth in Rule 144A under the Securities Act and outside the United States to non-U.S. persons in reliance on the exemption from registration set forth in Regulation S under the Securities Act. The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
